Terms of Service

1. Acceptance of Terms
By signing up for or using the Filtyr service ("Service"), you agree to be bound by these Terms of Service ("Terms"). Helios Indie Labs LLC d/b/a Filtyr ("Company", "we", "us", or "our") provides an AI-powered content moderation platform accessible via API to business customers. These Terms govern your use of the Service. If you are using Filtyr on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Do not use the Service if you do not agree to these Terms.
2. Description of Service
Filtyr offers a software-as-a-service platform that allows you to submit or send data (such as text or other content) for AI-driven moderation through an API. The Service analyzes content you send and returns moderation results (for example, flags or scores indicating potentially inappropriate or policy-violating content). You have control over the moderation settings – such as which categories of content to filter and threshold levels – and you decide how to act on the moderation results. Filtyr's role is to provide automated analysis; it is not a publisher of your content and does not make content removal decisions for you. You are solely responsible for configuring the Service to meet your needs and for any actions you take (or choose not to take) based on the AI moderation results.
3. Account Registration and Security
To access the Service, you must create an account via our authentication provider. Account information: You will be required to provide certain information (such as name and email) and set up credentials. We use Clerk for secure authentication services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to keep your account credentials confidential.
4. User Data and Responsibilities
4.1 Data You Submit
You retain ownership of all content and data you (or your end users) send to Filtyr for moderation ("Customer Data"). You hereby grant Filtyr a license to use, store, and process Customer Data for the purpose of providing the Service and improving it, in accordance with our Privacy Policy and any applicable data processing addendum. You represent and warrant that you have all necessary rights and permissions to provide the Customer Data to Filtyr for processing. You are solely responsible for all data or content that you transmit to or through the Service, including its legality, reliability, and appropriateness.
4.2 Personal Data and PII
You agree not to submit sensitive personally identifiable information ("PII") that is subject to stringent privacy laws or regulations (for example, social security numbers, financial account information, health or medical information subject to HIPAA, etc.) as part of Customer Data. Filtyr is not designed to process regulated sensitive personal data. Filtyr shall have no liability whatsoever for any sensitive personal data you or your users submit, and you are fully responsible for any such data and compliance with applicable privacy laws.
4.3 Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) use the Service to store or transmit content that is unlawful, infringing, or that violates privacy or publicity rights; (b) attempt to probe, scan, or test the vulnerability of the Service or circumvent any security measures; (c) interfere with or disrupt the integrity or performance of the Service. You are responsible for ensuring that your use of Filtyr and the results it provides comply with your own internal policies and any laws or regulations applicable to your industry.
4.4 Human Oversight
You acknowledge that Filtyr's AI moderation results are algorithmically generated and may not be 100% accurate or exhaustive. The Service may occasionally fail to identify objectionable content or may flag benign content in error. Filtyr's moderation tool is meant to assist your content review process, not to fully replace human judgment. You are responsible for evaluating the results and deciding whether to act on them. Filtyr strongly recommends that you maintain appropriate human oversight, especially in critical moderation decisions, and not rely solely on the Service for any decisions that could have significant legal or business consequences.
5. Subscription, Credits, and Payment Terms
5.1 Pricing Model
Filtyr operates on a subscription and usage-based pricing model. When you enroll, you may choose a plan that permits a certain volume of moderation requests or a pay-as-you-go option. Usage is metered by credits. Each content moderation request (or a defined unit of usage) will deduct a certain number of credits from your account balance. You may need to purchase credits in advance to use the Service beyond any free allotment.
5.2 Purchasing Credits
You can purchase credits at any time through your Filtyr account. Credits are purchased on a one-time basis by default, and Filtyr may offer an optional auto-replenishment feature for your convenience. If auto-replenishment is enabled, your payment method will automatically be charged to add a set amount of credits when your balance falls below a defined threshold (unless you opt out). All fees for credits and subscriptions are due immediately upon purchase (or on the schedule indicated for subscription plans), and are payable in U.S. Dollars, unless otherwise specified.
5.3 Credit Usage and Expiration
Purchased credits will be applied to your usage of the Service. Unused credits may expire after a certain period (for example, 1 year) from the date of purchase, to ensure pricing and usage terms remain current. Filtyr will indicate the expiration policy for credits in your account or order form. Expired or unused credits are forfeited and are not refundable. Credits have no cash value and cannot be exchanged for cash. They are solely a measure of Service usage.
5.4 No Refunds
Except as expressly provided in these Terms or required by law, payments for subscriptions or credits are non-refundable. For example, if you downgrade or cancel your plan, or have unused credits, you will not be entitled to a cash refund for any prepaid fees or remaining credits. If you believe Filtyr has billed you in error, please contact us within 60 days of the charge to dispute it; we will review and, if an error is found, apply an appropriate credit or correction.
5.5 Overage and Plan Changes
If you exceed your subscribed usage limits (for instance, using more credits than your plan includes before the end of a billing period), Filtyr reserves the right to charge for the excess usage at the then-current rate or require you to purchase additional credits to continue using the Service. We will make reasonable efforts to notify you (e.g., via the dashboard or email) if you are approaching or exceeding your plan limits. You may upgrade your subscription or purchase additional credits at any time to avoid service interruption. Downgrades (reducing your plan limits) will typically take effect at the start of the next billing cycle.
5.6 Taxes
Fees are exclusive of any taxes, levies, or duties. You are responsible for any taxes or duties payable on the amounts you pay for the Service, other than taxes on Filtyr's income. If any payments to Filtyr are subject to withholding tax, you may deduct those from the payment only as required by law, and you must provide official documentation to Filtyr evidencing the withholding.
5.7 Payment Processor
Filtyr may utilize a secure third-party payment processor to handle credit card payments or other payment mechanisms. You must provide accurate billing information and promptly update any changes. By making a purchase, you authorize Filtyr or its payment processor to charge your provided payment method for the applicable fees. All payment information is handled by our payment processor in accordance with their security and privacy policies.
6. Third-Party Services and Integrations
6.1 Service Providers
Filtyr relies on certain third-party services to operate and provide the Service to you. These include hosting, data storage, and user authentication providers. For example:
- Hosting and Analytics: We host Filtyr's application and API on Vercel's cloud platform.
- Database: We use Neon (a managed PostgreSQL database service) to store and manage data.
- Authentication: We use Clerk for user authentication and account management.
6.2 No Third-Party Warranty
While we carefully choose reputable third-party services, Filtyr does not control these third parties and cannot guarantee their performance or availability. We disclaim all liability for any acts or omissions of third-party service providers in connection with the provision of our Service.
6.3 Third-Party Terms
Your use of the Service is also subject to the terms of service or agreements of our third-party providers (to the extent applicable). For instance, by using Filtyr, you are also subject to Vercel's acceptable use policies as they relate to content delivered via their network.
7. Intellectual Property
7.1 Filtyr's IP
All rights, title, and interest in and to the Filtyr Service, including the software, algorithms, models, documentation, website, and all intellectual property (such as trademarks, logos, and copyrights) belong to Filtyr or its licensors. These Terms do not grant you any ownership rights in our intellectual property.
7.2 Your Data and Content
You retain all rights to your Customer Data. Filtyr does not claim ownership of your content. Subject to Section 4.1 above, Filtyr will only use your content as needed to provide the Service. We may also collect and use aggregated, anonymized data derived from Customer Data and usage of the Service for the purpose of improving Filtyr's algorithms and performance, and for analytics.
7.3 Feedback
If you provide feedback or suggestions to Filtyr regarding the Service, you acknowledge that we may use and incorporate such feedback without any obligation to you. Any improvements or modifications to the Service based on your feedback are owned by Filtyr.
8. Confidentiality
8.1 Definition
"Confidential Information" includes any business, technical, or financial information disclosed by one party to the other that is identified as confidential or that ought reasonably to be understood to be confidential given the nature of the information and the circumstances of disclosure.
8.2 Protection
Each party agrees to use the other's Confidential Information only for the purposes of this Agreement and to not disclose it to anyone except its personnel or subcontractors who need to know it for the permitted purpose and are bound by confidentiality obligations at least as protective.
8.3 Exceptions
Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, is obtained from a third party without a duty of confidentiality, or was independently developed without use of the other party's Confidential Information.
9. Term and Termination
9.1 Term
These Terms are effective as of the date you first accept them and will remain in effect until terminated as provided herein. Subscription plans may have an initial term and will auto-renew for successive terms unless cancelled.
9.2 Termination by You
You may stop using the Service at any time. You may also terminate this Agreement by cancelling your account if Filtyr materially breaches these Terms and fails to cure the breach within a reasonable period after you provide written notice of it.
9.3 Termination or Suspension by Filtyr
Filtyr may suspend or terminate your access to the Service if you are in breach of these Terms, fail to pay fees when due, or if required by law. In most cases, we will provide advance notice and an opportunity to cure the breach, if practicable.
9.4 Effects of Termination
Upon termination, your right to access or use the Service will cease. Filtyr will have no obligation to maintain or provide any of your Customer Data after termination, except as required by law or as expressly stated in our data retention policies.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND. FILTYR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILTYR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
12. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the United States and the State of Tennessee. Any disputes shall be resolved exclusively in the federal or state courts located in Tennessee, and both parties consent to the jurisdiction of such courts.
13. General Provisions
13.1 Changes to Terms
Filtyr may update these Terms from time to time. We will provide notice of changes by posting the updated Terms on our website and updating the "Last Updated" date above.
13.2 Entire Agreement
These Terms constitute the entire agreement between you and Filtyr regarding the Service and supersede all prior agreements or understandings.
13.3 No Waiver
The failure of either party to enforce any provision of these Terms shall not be deemed a waiver of that provision or of the right to enforce it in the future.
